Terms & Conditions of Supply of Research Services
In these conditions the following expressions shall be given the following meanings:
1.1 "the company" – Sensory Dimensions Ltd
1.2 "the client" – any person, firm, company or organisation who approaches the company with the view to use the services offered by Sensory Dimensions or the facilities.
1.3 "the study" – all aspects concerning the practical facilitation of the client's specified requirements in relation to recruitment, fieldwork, data analysis and or report writing.
2. Provision of Service
2.1 The company will carry out for its clients studies for sensory evaluation and or consumer testing at the Science and Technology Centre, Earley Gate, Whiteknights Road, Reading RG6 6BZ or Unit F1 & F2 and Unit B4 & B5, Southglade Business Park, Cowlairs, Nottingham NG5 9RA or any other approved test facility.
3. Client's Responsibility
3.1 The client will supply all relevant information and/or samples required as specified in the project proposal to carry out the study within the agreed timelines outlined in the proposal.
4.1 The client must provide the company with a written brief outlining the requirements of the study to be commissioned.
4.2 The company will provide a written proposal with the cost to the client confirming the requirements of the study with timelines to ensure that the study is completed on time.
4.3 All proposal/quotations are valid for 90 days from the date of issue. After 90 days the company reserves the right to revise the proposal/quotation. If the study is quoted in a currency other than GBP sterling then the company reserves the right to adjust the cost to reflect the current exchange rate at time of commission and/or invoicing.
5.1 The company shall not be liable to the client for any breach of these terms and conditions or failure to perform any obligations as a result of acts of God, government act or omission whether local or national or any other similar or dissimilar cause beyond the control of the company.
6.1 The company reserves the right to vary the terms and the conditions of this Terms and Conditions as a direct result of any new legislation, statutory instrument, government regulation or licences and to make amendments to the Standard Terms and conditions of the said Terms and Conditions. Providing that such variation shall be limited to the extent necessary for these purposes. The company will give notification of such variations.
7. Cancellation and Postponement
7.1 Notification of a cancellation or postponement of a study must be in writing.
7.2 Cancellation and postponement within 48 hours of the study taking place, or within two working days, will incur up to 100% charges. In all other cases, the client will be charged to cover all costs incurred by the company prior to the date of cancellation or postponement or those for which the company will be liable e.g. fieldwork costs that may have been incurred by a third party.
8. Fees and Charges
8.1 Payment of 50% on commission and 50% on completion of the study. A purchase order number is required on commission of the study if applicable.
8.2 Settlement within 30 days from the date of the invoice.
8.3 All prices are exclusive of VAT. VAT will be applied at 20.0% if applicable.
8.4 If changes are requested to be made to a study an additional cost will be charged according to the magnitude of the change. All endeavours will be made to ensure that the changes can be made within the time frame but cannot be guaranteed.
8.5 If the incidence rate for recruitment is below the agreed pre-recruitment incidence rate, additional charges may be incurred.
8.6 Delivery of samples to Sensory Dimensions approved test facilities must be made during the regularly scheduled office hours of 8.30am to 5.00pm (local time). Out of hour deliveries can be arranged but may incur additional charges...
8.7 Additional charges will be applied for additional analyses beyond the standard analysis detailed in the proposal.
8.8 Additional charges will be applied with handling costs of 20% for sample purchases, couriering returned products, equipment rental and power modification for use of nonstandard equipment, if these requirements were not included in the original proposal.
9. Data Protection
9.1 The company is registered under the Data Protection Act 1998 and any information relating to a client will remain confidential to the company and will not be shared with any third parties.
10. Data and Intellectual Property (IP)
10.1 Unless otherwise agreed in writing between all parties, all copyright subsisting in any project proposal, other project documentation and report shall vest in Sensory Dimensions on creation. Copyright subsisting in reports shall be assigned to the client on receipt of full payment for the work carried out under the contract in question.
10.2 Subject to 10.1, all IP including, but not limited to, rights in methodologies generated or adapted, shall belong to Sensory Dimensions Ltd.
11.1 Sensory Dimensions will keep confidential and will not disclose, without the written prior consent of the client, any confidential information received from the client in connection with the study.
